KinderShares Terms of Service

KinderShares is a gift registry platform that allows parents and guardians to create registries for children and receive monetary gifts from friends and family.

Gift funds are received by the parent or guardian. Parents and guardians are solely responsible for deciding how gift funds are saved, spent, or invested.

KinderShares does not:

• execute securities transactions or purchase investments on behalf of users;
• act as a broker, dealer, investment adviser, financial adviser, bank, or financial institution;
• provide individualized investment, financial, legal, or tax advice; or
• take custody of or manage gift funds.

A gift made in connection with a KinderShares registry is a monetary gift, not a purchase of stock, an ETF, or any other security.

You must be at least 18 years old and legally capable of entering into a binding agreement to create a KinderShares account.

You agree to provide accurate and current information and to keep your account information up to date.

Parents and guardians are responsible for the child information they add to KinderShares and represent that they have the authority to provide that information and create a registry for the child.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You should notify KinderShares promptly if you believe your account has been accessed without authorization.

Parents and guardians may create and share a KinderShares registry for a child.

Friends and family may use a registry to indicate or make a monetary gift. Depending on the gifting method selected, the payment may be completed through a third-party payment provider or through an external payment service made available by the parent.

KinderShares may display gift activity, amounts, messages, suggested investment ideas, and other registry information as part of the Service.

Parents are responsible for determining how received gift funds are ultimately used.

Certain gifts may be completed using payment services made available through KinderShares. Payment processing is provided by third-party payment providers, including Stripe.

For these gifts:

• the applicable payment is processed by the third-party payment provider;
• gift funds are directed to the parent or guardian's connected account;
• KinderShares does not take custody of the gift funds; and
• a KinderShares platform fee may apply as disclosed before the gift is completed.

KinderShares currently charges a 5% platform fee on gifts made through the registry using the standard online gifting flow. The platform fee includes applicable standard payment-processing costs associated with that flow.

Payment availability and payment methods may vary based on the parent’s account configuration, the payment provider, and other factors.

Use of third-party payment services may also be subject to the applicable provider's terms and privacy policies.

Eligible KinderShares registries may offer external gifting options such as Venmo or Cash App.

When a gifter chooses one of these options:

• KinderShares facilitates the handoff to the selected external service but does not process the external payment;
• the gifter completes the payment directly through the external service;
• the gift amount may need to be entered again in the external service;
• KinderShares does not receive, hold, or take custody of the external payment; and
• KinderShares does not independently verify that the external payment was successfully completed or received.

KinderShares may record a gift as pending based on the gifter's stated intent to make an external gift. The parent or guardian may then confirm whether the gift was received.

Pending external gifts do not represent verified payments.

KinderShares does not charge a KinderShares platform fee on gifts sent through Venmo or Cash App. The external provider may have its own terms, policies, restrictions, or fees.

KinderShares may display stocks, exchange-traded funds (“ETFs”), or other investment-related information as suggested investment ideas in connection with a registry.

Suggested investment ideas are provided for general informational and educational purposes only. They are not personalized recommendations or advice to buy, sell, or hold any security.

Selecting a suggested investment idea in connection with a gift does not purchase that investment, transfer ownership of a security to the child, or require the parent to invest the gift funds in that investment.

The parent or guardian retains complete discretion over whether, where, when, and how gift funds are saved or invested.

KinderShares does not consider the financial circumstances, investment objectives, risk tolerance, tax situation, or needs of a particular parent, child, or gifter when displaying suggested investment ideas.

Selection of Suggested Investment Ideas

KinderShares selects suggested investment ideas periodically for general informational and educational purposes. Selection may consider factors such as general consumer familiarity, prominence or relevance, the availability of broadly diversified funds, and usefulness in illustrating investment concepts.

Inclusion of a company, fund, or other investment idea does not mean KinderShares recommends it, has determined that it is suitable for any particular person, or expects it to perform favorably. The selection and availability of suggested investment ideas may change at any time.

KinderShares does not provide investment, financial, legal, accounting, or tax advice.

Any educational content, calculators, projections, investment-related information, suggested investment ideas, or other financial information provided through KinderShares is for general informational and educational purposes only.

Examples, projections, historical returns, calculations, and hypothetical results do not guarantee future results.

Parents and guardians are solely responsible for decisions concerning gift funds, financial accounts, investments, taxes, and compliance with applicable laws. You should consult an appropriately qualified professional when advice is needed.

KinderShares may offer a paid subscription known as the KinderShares Family Plan.

Current Family Plan features may include:

• registries for multiple children; and
• additional ways to receive gifts, including Venmo and Cash App.

The features, pricing, and availability of paid plans are disclosed at the time of purchase and may change from time to time.

By purchasing a Family Plan, you authorize the applicable payment provider to charge the subscription price and applicable taxes, if any, using your selected payment method.

Unless otherwise disclosed at checkout, the Family Plan is billed annually and automatically renews until canceled.

Any price change applicable to an existing subscription will be handled in accordance with applicable law and any notice requirements. Existing subscribers may retain pricing or terms that are no longer offered to new subscribers.

You may cancel your Family Plan through the available billing-management tools.

Unless otherwise stated at the time of cancellation, cancellation takes effect at the end of the then-current paid subscription period. You will retain Family Plan access until that time.

After Family Plan access ends, your account will return to the Free plan.

Your existing children and registries will remain associated with your account. However, Free plan limitations will apply. Under the current Free plan, only the registry associated with your first-created child remains publicly available. Registries associated with additional children remain in your account but are not publicly available unless Family Plan access is restored or otherwise permitted by the Service.

Except where required by applicable law or expressly stated otherwise by KinderShares, Family Plan subscription payments are non-refundable.

Gift payments are generally final once completed. Refund availability for a gift may depend on the circumstances, the applicable payment provider, and applicable law.

For external gifts made through services such as Venmo or Cash App, KinderShares does not control the payment and cannot issue or process a refund. Any refund or payment dispute must be handled between the applicable parties and/or through the external payment provider.

Parents and guardians are responsible for:

• providing accurate registry and account information;
• maintaining appropriate financial or payment accounts;
• confirming external gifts accurately;
• determining how gift funds are saved, spent, or invested;
• complying with applicable financial, tax, gift, custodial-account, and other legal requirements; and
• ensuring that their use of child-related information complies with applicable law.

KinderShares does not monitor or control how gift funds are used after they are received by the parent or guardian.

Gifters are responsible for:

• providing accurate information when making or indicating a gift;
• reviewing gift amounts before completing payment;
• completing external payments through the selected external service when applicable; and
• complying with applicable laws and third-party service terms.

A suggested investment idea selected by a gifter represents an idea associated with the gift and does not control how the parent uses the gift funds.

Registries are designed to be shared with others. Certain information supplied by a parent or gifter may therefore appear on a registry or elsewhere within the Service.

You are responsible for information, messages, and other content you submit to KinderShares and agree not to submit unlawful, fraudulent, abusive, infringing, or otherwise harmful content.

You grant KinderShares the limited rights necessary to host, display, transmit, and otherwise use submitted content to operate and provide the Service.

Our collection and handling of personal information is described in our Privacy Policy.

KinderShares relies on third-party services to provide portions of the Service, including payment, hosting, authentication, email, analytics, and other technology services.

Third-party services are governed by their own terms and policies.

KinderShares is not responsible for the independent operation, availability, security, policies, or actions of third-party services to the extent permitted by applicable law.

References or links to third-party financial institutions, payment services, companies, investments, or other products do not constitute an endorsement or guarantee by KinderShares.

You may not:

• use KinderShares for fraudulent, unlawful, deceptive, or abusive purposes;
• impersonate another person or misrepresent your identity;
• submit false gift or payment information;
• attempt to gain unauthorized access to accounts, systems, or data;
• interfere with or disrupt the operation or security of the Service;
• use automated methods to abuse, scrape, overload, or improperly access the Service;
• introduce malicious code or other harmful technology; or
• use the Service in a manner that violates the rights of KinderShares or others.

We may restrict, suspend, or terminate access when we reasonably believe these Terms have been violated or when necessary to protect KinderShares, our users, third parties, or the Service.

KinderShares and its associated software, design, branding, text, graphics, logos, and other materials are owned by or licensed to KinderShares and are protected by applicable intellectual-property laws.

Except as expressly permitted through the Service, these materials may not be copied, reproduced, distributed, modified, or commercially exploited without authorization.

We may modify, update, suspend, or discontinue portions of the Service from time to time.

We do not guarantee that the Service, any particular feature, payment method, third-party integration, investment idea, or registry functionality will always be available.

Where required by applicable law, we will provide appropriate notice of material changes affecting paid subscriptions or user rights.

To the fullest extent permitted by applicable law, KinderShares and the Service are provided on an “as is” and “as available” basis.

KinderShares makes no guarantee regarding the uninterrupted availability of the Service, the performance of any investment, the availability or performance of third-party services, or any particular financial outcome resulting from use of the Service.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, KinderShares will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Service.

KinderShares is not responsible for losses resulting from:

• investment or financial decisions made by users;
• how gift funds are used after receipt;
• unsuccessful, incomplete, disputed, or incorrectly entered external payments;
• actions or failures of third-party services; or
• unauthorized account activity resulting from a user's failure to reasonably secure their credentials.

Nothing in these Terms limits liability that cannot lawfully be limited.

You may stop using KinderShares at any time.

KinderShares may suspend or terminate access if you violate these Terms, use the Service unlawfully, create risk or harm for KinderShares or others, or when required by law.

Termination does not eliminate obligations or rights that by their nature should survive termination, including payment obligations, disclaimers, limitations of liability, and intellectual-property provisions.

We may update these Terms from time to time to reflect changes to the Service, our practices, or applicable requirements.

If a change is material, we may provide additional notice where appropriate or required by law.

The “Last Updated” date identifies when these Terms were most recently revised. Your continued use of the Service after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
